1. Acceptance of Terms

By accessing or using the Perdiem mobile application (the "App") operated by Sup Labs Inc., its subsidiaries and affiliates (collectively "Sup Labs", "us", "we", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services after any such modifications constitutes your acceptance of the modified Terms.

2. Description of Services

Perdiem is a mobile application that allows users to track their transactions, attach photos to transactions, and optionally share this information with other users. The Services may include features for finding and connecting with friends, sharing financial information, and other social networking features.

3. User Accounts and Registration

To use certain features of the Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information about yourself
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent's or guardian's permission to use the Services.

4. Contact Information and Mutual Friends Feature

Our Services may include a feature that helps you find and connect with friends who also use Perdiem. To enable this feature, you may choose to grant us access to your device's contact list.

Contact Upload and Use: If you choose to grant access to your contacts, we will securely upload your contact information to our servers solely for the purpose of identifying which of your contacts are also users of Perdiem (mutual friends). This allows us to suggest connections and help you find friends on the platform.

Security and Privacy: We implement industry-standard security measures to protect your contact information during transmission and storage. Your contact information is encrypted and stored securely on our servers.

No Sharing or Sale: We will never share, sell, or rent your contact information to any third parties for any purpose, including marketing or advertising. Your contact information is used exclusively for the mutual friends feature within our Services.

Your Control: You can revoke access to your contacts at any time through your device settings. If you revoke access, we will delete your contact information from our servers, though this may limit your ability to use the mutual friends feature.

5. User Content and Conduct

You are solely responsible for all content, including transactions, photos, and other information that you post, upload, or share through the Services ("User Content").

You agree not to:

  • Post, upload, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Post, upload, or share any content that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party
  • Post, upload, or share any unsolicited or unauthorized advertising, promotional materials, spam, or chain letters
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is inappropriate or harmful.

6. Intellectual Property Rights

The Services, including all content, features, and functionality, are owned by Sup Labs and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your User Content. By posting, uploading, or sharing User Content through the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display your User Content solely for the purpose of providing and improving the Services.

7. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

8. Sharing and Visibility of Content

Certain features of the Services allow you to share your transactions and photos with other users. Sharing is entirely optional and under your control. When you share content:

  • You choose which content to share and with whom
  • You can revoke sharing access at any time
  • Once shared, other users may view, save, or share your content, and we cannot guarantee that they will respect your privacy preferences

You are responsible for the content you share and for respecting the privacy and rights of others when sharing content that may include information about them.

9. Prohibited Uses

You may not use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way that is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at support@perdiem.xyz or through the account settings in the App. Upon termination, we will delete your account and associated data in accordance with our Privacy Policy, subject to any legal obligations we may have to retain certain information.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUP LABS, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sup Labs, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such modifications constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sup Labs regarding the use of the Services and supersede all prior agreements and understandings.
